About the Opportunity:

We are seeking an experienced attorney to join the business department in our Santa Rosa office. Compensation for this position ranges from $135,000 to $160,000 per year depending on experience.

About the Candidate:

· Active member in good standing with the State Bar of California

· Skillful analysis and synthesis of diverse subject matter

· Superior drafting, writing, research, verbal and written communication, and interpersonal skills

· Strong work ethic that thrives in both independent and highly collaborative, fast-paced environments

· Recent experience with general business law matters including entity formation, general governance matters, shareholder agreements, corporate matters, mergers and acquisitions, drafting and reviewing contracts, LLC and partnership agreements, financings and related securities offerings, secured loans, noncompetition agreements, equity incentive plans, and debt structuring
